Vertical Systems, inc. ("VSI") makes every effort to ensure the accuracy of the information published on our Web site(s). However, the documents and graphics published on this site may contain technical inaccuracies or typographical errors. VSI, Inc. makes no representations about the suitability of the information and graphics presented on this site. All such documents and graphics are provided "as is" without warranty of any kind.

If an error is made and a product is listed at an incorrect price, VSI, Inc. shall maintain the right to refuse or cancel any orders placed at the incorrect price. If the order has been confirmed and charged to your credit card, VSI, Inc. shall immediately issue a credit in the amount of the incorrect price.

Note: We do not guarantee the prices listed on other Web sites or price engines about our supplier's products.

Non-U.S. Internet Users
Sales of our products must follow U.S. Commerce Department Regulations and State Department restrictions. Certain products may not be exported to certain countries, or may be exported only with individual licenses.

Users acknowledges that their use of these systems ( https://www.pumpdrug.com and http://www.sonographimpression.com ) is predicated upon a pre-existing "HIPPA compliant business associate" contract between VSI and their institution, except in the case of an emergency. In such a case, the user is asked to agree to formally establish the contract ASAP after the use of the system in such an emergency situation.

VSI, Inc.'s Standard Terms of Sale

All sales are subject to the following terms and conditions:

1. Customer Acknowledgment.
Customer acknowledges agreement with these Terms of Sale by the placement of an order to purchase a Product through VSI, Inc. to its suppliers and providers.

2. All Sales Made In The State of the Supplying Pharmacy.
All sales shall be deemed made in the State of the supplying pharmacy or medical service provider, USA, regardless of the location of the Customer.

The Customer agrees that any dispute with VSI, Inc. arising out of the Customer's purchase through VSI, Inc. from its supplying pharmacies shall be brought by the Customer exclusively in the state or federal courts situated in the State of Alabama, City and county of Tusclaoosa, and the Customer hereby agrees that such venue is appropriate and that VSI, Inc.'s agreement to sell and deliver products to the Customer is dependent on this provision.

3. Purchase Price.
(a) Prices and promotions are listed in VSI's catalogs and Web site, and are subject to change without notice. Prices for certain governmental, corporate, and institutional customers may be set forth in a bid or other written agreement between the parties.

(b) Payment is due before shipment, unless credit terms have been arranged in advance with VSI's Credit Department. All other payment terms shall be as set forth in the VSI, Inc. credit agreement or in your credit card agreement with your issuer.

(c) VSI, Inc. and its supplying pharmacies shall not be liable for handling or customs charges for shipments outside the United States.

4. Shipping Terms.
Shipping terms are: F.O.B. the supplying pharmacy. The supplying pharmacy will arrange payment for standard shipping with the carrier and such costs are the responsibility of the buyer. Risk of loss is upon Customer once supplying pharmacy delivers the Product to the carrier. Delivery times are estimates only and VSI, inc. and its supplying pharmacies shall not be liable for delays. Express or excess shipping costs are paid by the Customer. All International shipping costs are borne by the Customer.

5. Federal and State Regulations.
Customer agrees to abide by all prescription-related and pharmaceutical Federal and State Laws imposed by Federal and State regulatory authorities on VSI's supplying compounding pharmacies.

6. International.
Products sold by VSI, Inc. may be exported from the United States only in accordance with the Export Administration Regulations. Diversion contrary to United States law is prohibited. Customer warrants and represents that it is eligible to receive Products under United States law and agrees to abide by any export or re-export restrictions imposed by the U.S. Government or its regulating agencies.

7. LIMITED WARRANTY.

IN NO EVENT SHALL VSI, INC. BE LIABLE FOR SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFIT OR OPPORTUNITY. CUSTOMER'S SOLE AND EXCLUSIVE REMEDY IS A REFUND OF THE PRODUCT'S PURCHASE PRICE FROM SUPPLYING PHARMACY. IN NO EVENT SHALL VSI'S LIABILITY EXCEED THE PURCHASE PRICE OF THE SPECIFIC PRODUCT PURCHASED FROM VSI, INC. SOME STATES MAY NOT RECOGNIZE A DISCLAIMER OR LIMITATION OF WARRANTIES AND/OR LIMITATION OF LIABILITY SO THE ABOVE DISCLAIMERS MAY NOT APPLY. CUSTOMER MAY ALSO HAVE DIFFERENT AND/OR ADDITIONAL RIGHTS AND REMEDIES THAT VARY FROM STATE TO STATE.

8. Exclusive Agreement.
These Terms of Sale represent the complete and final agreement between the Customer and VSI, Inc. for the matters set forth herein, and shall be supplemented only by the prices, quantity, and descriptions set forth in VSI, Inc.'s invoice for the relevant sale or as supplemented by the Customer's credit card issuer's terms and conditions. Terms contained in Customers' purchase orders, offers to buy, terms and conditions, and the like shall have no effect.

9. General.
(a) These Terms of Sale and any transactions made under them shall be interpreted by and be subject to the laws of the State of Alabama.

(b) In the event any section or portion of a section of these Terms of Sale are deemed unlawful or unenforceable, that section or portion of a section shall be stricken from the Terms of Sale, and the remaining terms shall continue in full force and effect.

(c) VSI, inc. shall not be responsible for damages or delays resulting from Acts of God, and from other actions, both governmental and otherwise, including but not limited to war, riot, seizure, and embargo, not encountered in the ordinary course of business.

(d) These Terms of Sale may be modified from time to time by VSI, inc. without notice, and are current as of the date displayed on this Web site.
